1. Services
Orderstack provides technology consulting, product engineering, AI modernization, talent solutions, and related professional services.
All services are delivered based on a mutually agreed scope, timeline, deliverables, and commercial terms documented in writing before work begins.
Any work requested outside the agreed scope may require additional approval, revised timelines, and updated pricing.
2. Engagement & Agreements
Projects and service engagements begin only after:
- Scope and deliverables are agreed upon
- Commercial terms are approved
- Required agreements are executed
- Applicable payments are received
Only written agreements, statements of work, and approved communications are considered binding.
3. Payments & Billing
- Payments are subject to the agreed payment schedule
- Invoices must be paid within the specified payment terms
- Delayed payments may result in suspension of services
- Scope changes may result in revised pricing and delivery timelines
- All fees are non-refundable unless otherwise stated in writing
4. Ownership & Intellectual Property
Unless otherwise agreed in writing:
- Clients retain ownership of their pre-existing intellectual property
- Upon full payment, clients receive ownership of project deliverables created specifically for them
- Orderstack retains ownership of its proprietary tools, frameworks, methodologies, and pre-existing intellectual property
- Orderstack may reference non-confidential project work for portfolio, marketing, or business development purposes unless restricted by agreement
5. Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Sharing required information and project inputs
- Assigning appropriate stakeholders and points of contact
- Reviewing deliverables within agreed timeframes
- Obtaining any required internal approvals
Delays in client responses may impact project schedules and delivery timelines.
6. Confidentiality
Both parties agree to maintain the confidentiality of non-public information shared during the course of an engagement.
This includes business information, technical documentation, product concepts, financial information, credentials, and other confidential materials.
Confidential information will not be disclosed to third parties except where required by law or authorized in writing.
7. Timelines & Delivery
Project timelines are estimates based on agreed requirements, assumptions, and client responsiveness.
Orderstack is not responsible for delays resulting from:
- Delayed client feedback or approvals
- Changes in project scope
- Third-party systems, vendors, or services
- Force majeure events or circumstances beyond reasonable control
Timeline adjustments may be required as project requirements evolve.
8. Third-Party Services
Projects may involve third-party platforms, software, infrastructure providers, APIs, or tools.
Orderstack is not responsible for outages, service interruptions, pricing changes, policy updates, or performance issues related to third-party providers.
Clients are responsible for maintaining appropriate licenses and subscriptions where applicable.
9. Termination
Either party may terminate an engagement in accordance with the applicable agreement.
Upon termination:
- Work completed up to the termination date remains payable
- Outstanding invoices become immediately due
- Access to project resources may be revoked where appropriate
- Confidentiality and intellectual property obligations survive termination
10. Limitation Of Liability
To the maximum extent permitted by law, Orderstack shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business opportunities, or data.
Any liability arising from an engagement shall be limited to the fees paid for the specific services giving rise to the claim.
11. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable to the governing agreement between the parties, unless otherwise specified in writing.
